1.1 These Terms and Conditions of Sale and Purchase of Goods (hereinafter referred to as the "Terms and Conditions") shall come into force when the Buyer visits the e-shop, and shall constitute a binding legal document for the parties, which sets out the rights and obligations of the Buyer and the Seller, the conditions of purchase of the Goods and the conditions of payment for the Goods, the procedure for delivery and return of the Goods, the liability of the parties, and any other provisions related to the purchase of Goods and the Sale and Purchase of Goods.
1.2 The Seller reserves the right to change, amend or supplement the Terms and Conditions at any time, taking into account the statutory requirements. The Buyer will not be personally notified of any amendments, corrections or additions.
1.4 The following persons are entitled to make purchases from this e-shop:
1.4.1. natural persons who have reached the age of majority and whose legal capacity has not been restricted by court order;
1.4.2. legal persons;
2.1 The Seller shall send all notifications to the email address provided by the Buyer in the registration form.
2.2 The Buyer shall send all notifications and questions to the means of contact specified in the "Contact" section of the Seller's e-shop.
3.1 The Contract between the Buyer and the Seller shall be deemed to be concluded from the moment the Buyer, having selected the Goods and having completed all the fields in the "Buy" menu, clicks on the "Order" button.
3.2 Every contract of sale concluded between the Buyer and the Seller shall be registered and stored in the database of this e-shop.
4.1 The Buyer shall have the right to purchase Goods in the e-shop in accordance with these Terms and Conditions.
4.2 The Buyer shall have the right to withdraw from the contract of sale and purchase of goods concluded with TODEX LIMITED by notifying the Seller in writing (by e-mail, indicating the product to be returned and its order number) no later than within 7 (seven) working days from the date of delivery of the item.
4.3 The Buyer's right provided for in Clause 4.2 shall be exercised in accordance with the "Rules for the Sale of Goods and the Provision of Services when Contracts are Concluded by Means of Communication", approved by the Minister of the Economy by means of Order No 258 of 17 August 2001.
4.4 The Buyer may exercise the right provided for in Clause 4.2 only if the goods have not been damaged or substantially altered in appearance or packaging and have not been used.
5.1 The Buyer shall pay for and accept the Goods in accordance with these Conditions.
5.2 The Buyer undertakes not to disclose its login details to third parties. If the Buyer loses his login details, he must immediately inform the Seller in writing.
5.3 If the data provided by the Buyer in the registration form changes, the Buyer must update them immediately.
5.4 The Buyer, by using this e-shop, undertakes to comply with these Terms and Conditions, other terms and conditions expressly stated in the e-shop and not to violate the legislation of the Republic of Lithuania.
6.1 If the Buyer attempts to undermine the stability and security of the operation of this online shop or violates his/her obligations, the Seller shall have the right to restrict or suspend the Buyer's access to the e-shop or, in exceptional cases, to terminate the Buyer's account, immediately without warning.
6.2 In the event of serious circumstances, the Seller may temporarily or permanently suspend the operation of the e-shop without prior notice to the Buyer.
6.3 The Seller shall have the right to cancel the Buyer's order without prior notice to the Buyer if the Buyer, having chosen the payment method of online banking, fails to pay for the goods within 2 (two) working days.
7.1 The Seller undertakes to enable the Buyer to use the services provided by this e-shop under the terms and conditions set out in these Conditions and in the e-shop.
7.2 The Seller undertakes to respect the Buyer's right to privacy with respect to the personal information belonging to him, as indicated in the registration form of the online shop, except for the cases stipulated by the laws of the Republic of Lithuania and the "Regulations on the Protection of Personal Data".
7.3 The Seller undertakes to deliver the goods ordered by the Buyer to the address indicated by the Buyer in accordance with the conditions set out in Clause 9 of the Rules.
7.4 If the Seller is unable to deliver the goods ordered to the Buyer due to important circumstances, the Seller undertakes to offer an analogous or, as far as possible, similar product. If the Buyer refuses to accept an analogous or the most similar product, the Seller undertakes to refund the money paid by the Buyer within 3 (three) working days, provided that prepayment has been made.
8.1 The prices of the goods in the online shopping centre and in the order form shall be quoted in euros including VAT.
8.2 The Buyer shall pay for the goods in one of the following ways:
8.2.1. payment by electronic banking, which is a prepayment through the electronic banking system used by the Buyer. The Buyer shall transfer the money to the bank accounts provided by Amberix UAB. The responsibility for data security in this case lies with the respective bank, as all monetary transactions take place in the bank's electronic banking system.
8.2.2. Payment in cash if the goods are collected from the showroom.
9.1 When ordering the Goods, the Buyer undertakes to specify the place of delivery.
9.2 The Buyer undertakes to accept delivery of the Goods himself. In the event that the Buyer is unable to take delivery of the Goods himself and the Goods are delivered to the address indicated and on the basis of other data provided by the Buyer, the Buyer shall not be entitled to claim against the Seller for delivery of the Goods to the wrong entity.
9.3 The Seller undertakes to deliver the Goods to the Buyer in accordance with the time limits specified in the orders. These time limits shall not apply in cases where the Seller does not have the goods in stock and the Buyer has been informed of a shortage of the goods ordered. The Buyer also agrees that in exceptional cases the delivery of the goods may be delayed due to unforeseen circumstances beyond the control of the Seller. In such case, the Seller undertakes to contact the Buyer immediately to agree on the delivery of the goods.
9.4 In all cases, the Seller shall be exempt from liability for breach of delivery deadlines if the goods are not delivered to the Buyer or are not delivered on time due to the Buyer's fault or due to circumstances beyond the Buyer's control.
9.5 At the time of delivery of the Goods, the Buyer must inspect the condition of the Goods with an authorised representative. Once the Buyer has signed the invoice (bill of lading), the Goods shall be deemed to have been delivered in good condition. If the Buyer notices that the packaging of the delivered goods is damaged (torn or otherwise externally damaged), the Buyer is not obliged to accept the goods. If the Buyer fails to do so, the Seller shall be exempt from liability to the Buyer in respect of any damage to the goods, provided that such damage was caused by damage to the packaging which was not noticed by the Buyer at the time of delivery.
10.1 The characteristics of each item sold in this online shop are set out in the description of each item.
10.2 The Seller shall not be liable for the fact that the colour, shape or other parameters of the goods in the e-shop may not correspond to the actual size, shape and colour of the goods due to the characteristics of the display used by the Buyer.
10.3 In cases where the law prescribes a certain shelf life for particular goods, the Seller undertakes to sell such goods to the Buyer in such a way that the Buyer has a realistic opportunity to use such goods before the expiry of the shelf life.
Return and exchange of goods11.1.Defects in the goods sold shall be eliminated, defective goods shall be exchanged and returned in accordance with the Rules for the Return and Exchange of Goods approved by the Order of the Minister of Economy No.217 of 29 June 2001 "On the Approval of the Rules for the Return and Exchange of Goods".
11.2 In order to return the item(s) in the cases referred to in Clause 11.1 of the Rules, the Buyer shall inform the Seller thereof.
11.3 The Buyer may exercise the right provided for in the Clause of the Rules within 14 calendar days from the date of delivery or collection by informing the Seller.
11.4 The Buyer must comply with the following conditions when returning the goods:
11.4.1. the returned goods must be in their original packaging in good condition;
11.4.2. the Goods must be undamaged by the Buyer;
11.4.3. the goods must be in good condition (labels intact, protective film intact, etc.) (this point does not apply in the case of returns of low-quality goods);
11.4.4. the returned goods must be in the same condition as when received by the Buyer;
11.4.5. when returning an item, you must present the document of purchase.
11.5 The Seller shall have the right not to accept the Buyer's return of the Goods if the Buyer does not comply with the return procedure set out in Article 11.11.6 In the event that the goods are returned pursuant to the right provided for in clause 4.2, the Buyer shall bear the costs of returning the goods. In the event of a return of the wrong goods and/or goods of poor quality, the Seller undertakes to take back such goods and replace them with similar suitable goods. In the event that the Seller does not have analogous goods, the Seller shall refund the money paid for the product(s) to the Buyer.11.7 Returns and exchanges shall be made in accordance with the "Rules for Returns and Exchanges of Goods" approved by Order No 217 of the Minister of Economy of 29 June 2001 and the "Rules for the Sale of Goods and the Provision of Services in the case of Contracts Concluded by means of Communication" approved by Order No 258 of the Minister of Economy of 17 August 2001.
12.1 The Buyer is fully responsible for the accuracy of the data provided in the Registration Form. If the Buyer fails to provide accurate data in the registration form, the Seller shall not be liable for any consequences arising therefrom.
12.2 The Buyer shall be responsible for the actions carried out using this online shop.
12.3 The Buyer is responsible for the transmission of his/her login data to third parties. If a third party uses the services provided by this online shop by logging in to the online shopping centre using the Buyer's login data, the Seller shall consider this person as the Buyer.
12.4 The Seller shall be exempt from any liability in cases where the loss is caused by the Buyer's failure to read these Terms and Conditions, notwithstanding the Seller's recommendations and obligations, even though the Buyer was given the opportunity to do so.
12.5 If the Seller's e-shop contains links to the websites of other companies, institutions, organisations or persons, the Seller is not responsible for the information or activities contained therein and does not supervise, control or represent such companies and persons.
12.6 In the event of damage, the party at fault shall indemnify the other party against direct damages.
13.1 The Seller may, at its sole discretion, initiate various promotions in the e-shop.
13.2 The Seller has the right to unilaterally change the terms of promotions, as well as to cancel promotions, without prior notice.
14.1 These Rules are drawn up in accordance with the legislation of the Republic of Lithuania.
14.2 Relationships arising under these Rules shall be governed by the law of the Republic of Lithuania.
14.3 All disagreements arising out of the implementation of these Rules shall be settled by negotiation. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.
